1. Service Description

Pingfyr is a reminder scheduling and delivery API. Users schedule reminders via API key; reminders fire automatically on schedule and deliver to recipients via email, webhook, Slack, Discord, Telegram, Google Calendar, and OpenClaw channels. By accessing or using the Pingfyr service, you agree to be bound by these Terms & Conditions and our Privacy Policy, which describes how we collect, process, and protect your personal data.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use Pingfyr. By using the service, you represent and warrant that you meet these requirements. If you are using Pingfyr on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Plans and Billing

Pingfyr offers the following plans:

  • Free — $0/month. Up to 50 reminders and 100 recipients per month.
  • Starter — $59/month. Up to 10,000 reminders and 20,000 recipients per month.
  • Pro — $269/month. Up to 50,000 reminders and 100,000 recipients per month.
  • Enterprise — Custom pricing. Unlimited reminders and recipients. Contact us at support@pingfyr.com.

Per-Channel Limits

  • Email: up to 100 recipients per reminder.
  • Telegram: plan-based limit (Free: 10, Starter: 50, Pro: 100, Enterprise: unlimited recipients per reminder).
  • Webhook, Slack, Discord, Google Calendar, OpenClaw: 1 recipient per reminder.
  • Daily email rate: Free: 3, Starter: 10, Pro: 25, Enterprise: 25 emails per recipient per day.

Billing is processed monthly via Stripe. Plan changes take effect per Stripe proration rules — upgrades are charged immediately with proration; downgrades take effect at the next billing cycle. Past due accounts receive a 3-day grace period before access restrictions are applied.

4. Cancellation and Refunds

You may cancel your subscription at any time from the billing page in your dashboard. Access to paid features continues until the end of the current billing period. No refunds are issued for partial months or unused time remaining in a billing period, except as required by applicable consumer protection laws. If Pingfyr fails to provide the contracted service for an extended period, you retain all statutory refund rights under German law.

Right of Withdrawal (Widerrufsrecht)

Pursuant to BGB §§ 355–356, EU consumers have the right to withdraw from distance contracts within 14 days without giving any reason. By creating an account and using the Pingfyr service, you expressly request that performance of the service begins immediately upon account activation. You acknowledge that your right of withdrawal expires once the service has been fully performed, or — for ongoing subscriptions — that you waive your withdrawal right with respect to the current billing period upon first use. To exercise your withdrawal right before service activation, contact support@pingfyr.com within 14 days of your purchase.

5. Acceptable Use

The Pingfyr service must not be used for:

  • Sending unsolicited communications (spam) to recipients
  • Transmitting illegal, harmful, or harassing content
  • Violating the rights of third parties, including privacy rights
  • Attempting to compromise platform security or access unauthorized data
  • Circumventing rate limits or plan restrictions
  • Any activity that violates applicable laws or regulations

You are solely responsible for the content of reminders and for obtaining consent from recipients before sending notifications. The API enforces a rate limit of 60 requests per minute per API key. Exceeding this limit will result in temporary throttling.

6. Termination

Termination by Pingfyr

For material violations of Section 5 (Acceptable Use), Pingfyr will provide written notice specifying the violation and allow 10 business days for remediation before suspension. Immediate suspension without notice is reserved for illegal activity, spam, or abuse that poses immediate harm to the platform or other users.

Effect of Termination

Upon termination, your access to the service is immediately revoked. Reminder data is retained for 30 days per our data retention policy and then deleted. Outstanding fees remain due. Sections 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 12 (Indemnification), and 17 (Governing Law) survive termination.

7. Channel Access by Plan

The email and Google Calendar delivery channels are available on Starter, Pro, and Enterprise plans only. Free plan users may use webhook, Slack, Discord, Telegram, and OpenClaw channels. The Google Calendar channel requires connecting your Google account via OAuth2; you may disconnect at any time from your dashboard. Users who configure custom SMTP servers use their own email infrastructure for delivery. Channel availability may change with 30 days notice to affected users.

8. API Keys and Security

You are responsible for keeping your API keys secure and confidential. If you suspect a key has been compromised, rotate it immediately from the dashboard. Pingfyr is not liable for unauthorized use of the service resulting from disclosure of your API keys to third parties.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Pingfyr service is provided on an "as-is" and "as-available" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Pingfyr does not warrant that the service will be uninterrupted, error-free, or that all reminders will be delivered successfully or on-time. You acknowledge that reminder delivery depends on external factors beyond Pingfyr's control, including third-party service availability and recipient system reliability.

This disclaimer does not affect your statutory rights as a consumer under German or EU law, including rights under BGB §§ 434–442 (defect liability) that cannot be excluded by contract.

10. Limitation of Liability

Pingfyr is not liable for missed deliveries due to outages at downstream service providers (including Resend, Telegram, Slack, Discord, Google Calendar, and others), incorrect recipient addresses supplied by users, or events outside Pingfyr's reasonable control.

To the maximum extent permitted by applicable law, Pingfyr's total liability to you for any claim arising from your use of the service is limited to the fees you paid in the 3 months preceding the claim. In no event shall Pingfyr be liable for lost profits, lost data, lost revenue, or indirect, incidental, consequential, special, or punitive damages.

This limitation does not apply to: (1) liability for gross negligence or willful misconduct (Vorsatz und grobe Fahrlässigkeit); (2) breach of GDPR or data protection laws; (3) death or personal injury caused by negligence; (4) liability under the German Product Liability Act (Produkthaftungsgesetz); or (5) any other liability that cannot be limited under mandatory applicable law.

11. Data Retention

Reminder content, delivery logs, and recipient information are retained for 30 days from the delivery completion time or from the reminder cancellation time, whichever applies. After this period, data is permanently deleted from primary systems. Upon account deletion, all personal data is removed from primary systems within 30 days. You may request deletion of your personal data at any time by contacting support@pingfyr.com.

12. Indemnification

You agree to defend, indemnify, and hold harmless Pingfyr and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the service; (b) content you send via Pingfyr; (c) your violation of these Terms or applicable laws; (d) your violation of third-party rights; or (e) unauthorized activity using your API keys or account. This obligation does not apply to the extent that the claim is caused by Pingfyr's own gross negligence or willful misconduct.

13. Intellectual Property

Pingfyr, including its source code, design, API, documentation, and trademarks, is the exclusive property of its operator. All intellectual property rights are reserved. You are granted a limited, non-exclusive, non-transferable, revocable license to use the service for your internal purposes, subject to these Terms. You retain ownership of all reminder content and recipient data you provide. By using Pingfyr, you grant us a worldwide, royalty-free license to process, store, and deliver your content solely as necessary to provide the service. You may not reverse engineer, decompile, or attempt to derive source code from the service, or use the service for competitive analysis.

14. Service Availability

Pingfyr targets 99.5% monthly uptime, measured as the percentage of time authenticated users can access the API. Scheduled maintenance periods will be announced at least 48 hours in advance when possible. Uptime calculations exclude: scheduled maintenance, outages caused by third-party provider failures, and force majeure events. Unplanned outages will be communicated via our status page.

15. Force Majeure

Neither party shall be liable for failure to perform its obligations if such failure results from causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, government actions or regulations, pandemics, strikes, utility failures, or third-party provider outages (Stripe, Supabase, Resend, Telegram, Google, and others). Pingfyr will use reasonable efforts to restore service promptly.

16. Changes to Terms

Pingfyr may update these Terms & Conditions from time to time. Material changes will be communicated via email with at least 30 days notice before taking effect. Continued use of the service after the notice period constitutes your acceptance of the updated terms.

17. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of the Federal Republic of Germany, in particular the BGB (Bürgerliches Gesetzbuch) and the DDG (Digitale-Dienste-Gesetz), without regard to conflict of law principles. For disputes between Pingfyr and non-consumer users, the exclusive jurisdiction is the courts of Düsseldorf, Germany. EU consumers may bring proceedings in their local courts in accordance with mandatory consumer protection laws, including the Consumer Rights Directive (2011/83/EU). You may also pursue online dispute resolution via the EU Commission platform at https://ec.europa.eu/consumers/odr.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and Pingfyr regarding your use of the service and supersede all prior agreements, understandings, and negotiations.
